Terms of Service
1. Nature of Services
Christopher Millson provides structural diagnostic evaluations and operational assessments for small and mid-size businesses. Services are diagnostic and evaluative in nature. Nothing provided through this engagement constitutes legal, financial, accounting, or investment advice.
2. Engagement Scope
All engagements are defined by a written scope of work agreed upon prior to commencement. Work performed outside the agreed scope requires a written amendment. Christopher Millson reserves the right to decline any engagement at its sole discretion.
3. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during an engagement. This obligation survives termination of the engagement for a period of three (3) years. Diagnostic outputs and findings are considered proprietary to the client and will not be disclosed to third parties without written consent.
4. Intellectual Property
The OPERATE diagnostic framework, scoring methodology, constraint maps, and all associated tools and frameworks remain the intellectual property of Christopher Millson. Client-specific reports and analyses are licensed to the client for internal use only and may not be resold, sublicensed, or redistributed.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Christopher Millson’s liability for any claim arising out of or related to services rendered shall not exceed the total fees paid for the relevant engagement. In no event shall Christopher Millson be liable for indirect, consequential, incidental, or punitive damages.
6. No Guarantee of Outcomes
Diagnostic findings and recommendations are based on information provided by the client and observed at the time of assessment. Christopher Millson does not guarantee specific business outcomes, revenue results, or operational improvements from implementing any recommendations.
7. Payment Terms
Fees are due as specified in the engagement agreement. Work will not commence until a signed agreement and any required deposit have been received. Overdue balances may be subject to suspension of services.
8. Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Los Angeles County, California, following good-faith negotiation between the parties.
9. Modifications
Christopher Millson reserves the right to update these terms at any time. Continued use of services following notification of changes constitutes acceptance of the revised terms.
